1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of TipTop.Music, a fair-pay music platform operated by MW3.biz International Business Ltd. (collectively, “TipTop.Music,” “we,” “us,” or “our”).

TipTop.Music is not a music streaming subscription service. It is a credit-based platform where listeners purchase credits upfront and each play distributes the credit value directly to the artist. There are no subscription fees, and credits never expire.

Agreement to Terms: By accessing or using our Services, creating an account, or logging into our platform, you agree to be bound by these Terms and our Privacy Policy, and acknowledge that they constitute a legally binding contract between you and TipTop.Music.

2. Definitions

• “Services” means the TipTop.Music platform, websites, applications, APIs, and all related technologies.
• “Credits” means digital credits purchased by listeners on TipTop.Music, used to play music. Each play consumes credits which are distributed to the artist.
• “Listener” means a registered user who purchases credits and plays music on the platform.
• “Artist” means a registered user who uploads and distributes music through the platform.
• “Play” means a single playback of a track that triggers a credit deduction from the listener and a payment to the artist.
• “Revenue Share” means the percentage of credit value distributed to artists per play (currently 67%).
• “User Content” means any audio, text, images, metadata, or other materials uploaded by users.

3. Eligibility and Account Registration

You must be at least 13 years of age to use TipTop.Music as a listener. You must be at least 18 years of age to register as an artist or purchase credits. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Account Requirements

• Provide accurate and current information during registration
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of unauthorized account access
• Do not create multiple accounts for the same person

Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms. You may terminate your account at any time by contacting support@tiptop.music. Unused credits may be refunded at our discretion upon account closure.

4. How TipTop.Music Works

Credit System

• Listeners purchase credits upfront (e.g., $10 = 1,000 tips)
• Credits never expire
• Each play of a track deducts credits from the listener's balance and generates a tip
• Credits are non-transferable between users
• Credit prices may change; purchased credits retain their tip value

Artist Revenue Distribution

• 67% of each tip's credit value goes directly to the artist
• 30% goes to platform infrastructure and operations
• 3% is allocated to social impact initiatives
• Payments are calculated per-tip, not pooled across the platform
• Artists receive payment for every individual tip generated by their tracks
• Earnings are accumulated and paid out according to the payout schedule

No Subscription Model

TipTop.Music does not charge monthly subscription fees. There are no recurring charges. You only pay when you purchase credits, and those credits remain in your account until used.

5. Artist Terms

Content Ownership and Licensing

• Artists retain full ownership of their uploaded content
• By uploading, you grant TipTop.Music a non-exclusive license to host, distribute, and stream your content on the platform
• You may remove your content at any time, which revokes the license (subject to existing plays already processed)
• You represent and warrant that you own or have all necessary rights to the content you upload

Copyright Responsibility

• Artists are solely responsible for ensuring their uploads do not infringe third-party copyrights
• Uploading content you do not own or have rights to may result in account termination
• TipTop.Music complies with the DMCA and will respond to valid takedown notices
• Repeat copyright infringers will have their accounts terminated

Payouts

• Artists must provide valid payment information to receive payouts
• Minimum payout thresholds may apply
• Artists are responsible for all applicable taxes on their earnings
• Payout processing times vary by payment method and region

6. Acceptable Use Policy

You agree to use the Services only for lawful purposes. You will not:

Prohibited Activities

• Upload content that infringes copyrights, trademarks, or other intellectual property rights
• Upload content that is illegal, harmful, threatening, abusive, or hateful
• Use bots, scripts, or automated tools to artificially inflate play counts
• Manipulate the credit system or artist payment calculations
• Create fake accounts or impersonate others
• Attempt to gain unauthorized access to the platform or other users' accounts
• Interfere with or disrupt platform infrastructure
• Use the platform to distribute malware or harmful code
• Scrape, crawl, or extract data from the platform without authorization

7. Intellectual Property

The TipTop.Music platform, including its design, features, code, branding, logos, and documentation, is the intellectual property of MW3.biz International Business Ltd. You may not copy, modify, distribute, or create derivative works from any part of the platform without our written consent.

The TipTop.Music name, logo, and associated marks are trademarks of MW3.biz International Business Ltd.

8. Disclaimers and Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TIPTOP.MUSIC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TIPTOP.MUSIC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

We strive for 99.9% uptime and continuously work to improve the platform, but we cannot guarantee uninterrupted service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIPTOP.MUSIC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

Aggregate Liability Cap: In no event shall TipTop.Music's aggregate liability exceed the greater of GBP 100 or the amount you paid for credits in the twelve months preceding the claim.

10. DMCA and Copyright Disputes

If you believe content on TipTop.Music infringes your copyright, you may submit a DMCA takedown notice to support@tiptop.music with:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on the platform
• Your contact information
• A statement of good faith belief that the use is not authorized
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any dispute shall be resolved through binding arbitration conducted by the London Court of International Arbitration (LCIA) under its then-current rules. The arbitration shall be conducted in English, and the seat of arbitration shall be London, United Kingdom.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the platform and updating the “Last Updated” date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
